Wholesale Terms and Conditions

These Wholesale Terms & Conditions (“Terms”) apply to all wholesale purchases made from The newVital (“we”, “our”, or “us”). By applying for a wholesale account, placing an order, or purchasing products through our website, you (“Stockist”, “Retailer”, or “you”) agree to these Terms.


1. Wholesale Account Approval

Wholesale accounts are available to approved professional retailers, salons, clinics, and authorised stockists only.

We reserve the right to:

Approve or decline wholesale applications
Suspend or cancel accounts at our discretion
Limit supply to protect brand positioning and product integrity

Wholesale supply does not grant exclusivity unless confirmed in writing.


2. Minimum Order Requirements

Minimum wholesale order: 12 units per order
Opening orders include one complimentary tester unit
Tester units are strictly for demonstration purposes and must not be resold

We reserve the right to adjust minimum order quantities at any time.


3. Wholesale Pricing & Retail Pricing

All wholesale pricing is confidential and must not be shared with third parties
Stockists agree to maintain pricing at or near our RRP to protect brand value
Unauthorised discounting or price undercutting may result in account suspension or termination.


4. Payment Terms

Payment is required before dispatch unless credit terms have been approved

Approved accounts may be offered Net 30 payment terms
We reserve the right to withdraw credit facilities at any time

Late payments may result in:

Order delays or suspension
Interest or recovery fees where permitted by law


5. Ordering & Product Availability

All orders are subject to availability.

We reserve the right to:

Update packaging, formulation, or product presentation where required
Limit order quantities where necessary

Ownership of goods transfers only after full payment is received.

Risk transfers once goods are delivered to the nominated delivery address.


6. Shipping & Delivery

Shipping costs and delivery timeframes are confirmed at checkout.

While we take care to dispatch safely and promptly, we are not responsible for courier delays or circumstances outside our control.

Tracking numbers will be sent with every order. 


7. Returns, Damages & Faults

Due to hygiene and product safety requirements:

Wholesale purchases are non-returnable unless goods arrive damaged or faulty
Claims must be submitted within 5 working days of delivery
Claims must include photographic evidence and order details

Approved claims may be replaced, repaired, or credited at our discretion.


8. Product Storage & Handling

Stockists agree to:

Store products in a cool, dry environment
Keep products away from direct sunlight
Follow all product care instructions

We are not responsible for product deterioration caused by incorrect storage or handling.


9. Brand Representation & Sales Channels

Stockists agree to represent The newVital professionally and accurately.

Products must not be:

Repackaged, relabelled, or altered
Marketed with unverified or misleading claims
Sold via third-party marketplaces, auction platforms, or clearance websites without written approval


10. Marketing & Intellectual Property

All trademarks, product names, branding, imagery, and marketing materials remain the property of The newVital.

Approved marketing materials may be used only for promoting genuine The newVital products.


11. Product Performance & Claims

Our products are designed to support healthy hair and scalp care. Results may vary between individuals.

Stockists must not make medical or therapeutic claims beyond those provided by The newVital.


12. Termination

We reserve the right to suspend or terminate wholesale accounts if:

Payment terms are breached
Confidential pricing is disclosed
Brand representation guidelines are breached
Products are sold through unauthorised channels

Outstanding balances become immediately payable upon termination.


13. Confidentiality

Wholesale pricing, promotional support, and commercial arrangements must remain confidential during and after the wholesale relationship.


14. Force Majeure

We are not liable for failure to fulfil obligations due to circumstances beyond our reasonable control including natural disasters, supply chain disruption, or transport interruption.


15. Governing Law

These Terms are governed by the laws of New Zealand.
